Montessori Scout Terms and Conditions of Use

The undersigned acknowledges and agrees to abide by all of the terms and conditions for Membership in Montessori Scout, as contained in this Application and Agreement to the Terms And Conditions for Membership in the Montessori Scout ("Application") and as the terms and conditions for Membership with Montessori Scout may be amended or modified by Montessori Scout from time to time at the sole discretion of Montessori Scout. The undersigned agrees that participation and receipt of benefits of Membership may be immediately terminated as a result of my violation of the Montessori Scout Terms and Conditions.

The following is a list of the Montessori Scout Member Terms and Conditions:

1. Membership Acknowledgment
The undersigned acknowledges and agrees that he or she has received and read this agreement and desires to become a Member of Montessori Scout, consistent with its Terms and Conditions.

2. Member Qualifications
The member shall be an individual interested in Montessori Education, a Montessori Teacher / Montessori Teacher Assistant, or Montessori School, based in the United States, representing any industry or function in which montessori education, montessori networking, compliance, and best practices are important considerations in doing business.

3. Member Benefits
Member shall be entitled to all benefits as defined by this Agreement and as outlined on the Montessori Scout web site. These benefits include the ability to participate in the online community, ability to access Montessori resources on the Montessori Scout web site, rights to use the Montessori Scout logo, and other benefits of membership as specified on the Montessori Scout web site.

4. Member Use of the  Name and Logo
The undersigned acknowledges and agrees that, during membership with Montessori Scout,  Montessori Scout grants the Member a non-exclusive, non-assignable and non-transferable license to use the Montessori Scout name and Member logo ("Montessori Scout Logo") on marketing, advertising and documents, subject to the Member's agreement to the following: (i) The Montessori Scout logo cannot be used in any way that implies or might be misunderstood by a reasonable person to suggest that any product or service that may be offered by the member has being sanctioned by, sponsored by, or associated with , or that  has approved or endorsed a product, marketing concept, or service; (ii) for website or email use, the undersigned acknowledges and agrees that the Montessori Scout Logo shall be hyper-linked to the Montessori Scout online home page at www.MontessoriScout.com for consumers to gain a proper understanding of the true meaning of membership in the ; (iii) the undersigned acknowledges and agrees that the Montessori Scout Logo shall not be used, copied, reproduced, or altered in any manner and that Montessori Scout may change or modify the Montessori Scout Logo at any time and at its sole discretion; (iv) The undersigned acknowledges and agrees that membership in the shall not give a Member of Montessori Scout any legal rights relating to the Montessori Scout name, logo or intellectual property, beyond the rights specifically granted in this Agreement. (vi) the undersigned acknowledges and agrees that as a Member of Montessori Scout, they may not misrepresent the meaning of their Membership including, but not limited to, identifying themselves to be or implying that their Membership is some form of professional title or designation.

5. Prohibition Against Commercial Solicitation
Members may not engage in commercial solicitation or distribute mass communication of any kind to other Members. Montessori Scout reserves the right to suspend or cancel Membership related to violations of this policy.

6.  Use of Member or Business Name
The undersigned agrees to grant Montessori Scout the right to include the Member's name, or the name of the Member's business in any lists published or in other public communication vehicles, including web sites, advertising, and collateral materials.

7. Member Dues (School Members Only)
The undersigned agrees to pay annual Membership dues as established and revised from time to time by Management. Management reserves the right to establish reasonable fees or charges for additional services provided to its Members.

8. Termination of Membership
The Member, at the conclusion of their Membership period, may terminate their Membership by contacting Montessori Scout directly, or by electing not to pay 's renewal invoice whether mailed to the Member or online.

9. Membership General Conditions
9.1 I acknowledge and agree that Montessori Scout reserves the right to refuse Membership to anyone. This means that my Membership with Montessori Scout may be denied or revoked for any reason that Montessori Scout determines in its sole discretion to be good cause. In the event that my Membership is revoked, I understand and agree that I will discontinue all use of the name, logo, and copyrighted or trademarked material. I understand and agree that if my Membership with Montessori Scout is terminated by me or revoked by Montessori Scout within thirty (30) days of my membership, I will receive a full refund of that years Membership dues.

9.2 I acknowledge and agree that Montessori Scout shall not be liable for any financial losses caused to me, which could include any unused Montessori Scout products or Services, as a result of me being disqualified for  Membership due to a violation by me of the Montessori Scout Terms and Conditions, or for any reason that Montessori Scout determines in its sole discretion to be good cause.

10. Conditions for Use for MontessoriScout.com Membership Community
10.1 This End User Agreement constitutes the agreement between Montessori Scout and you as a user who accesses or establishes a connection ("user," "you," or "your") to the MontessoriScout.com web site (collectively " Services"). By using or accessing Montessori Scout Services, you agree to the following conditions: (i) You will not sent or otherwise post unauthorized commercial communications (such as spam). (ii) You will not collect users' content or information, or otherwise access Montessori Scout Services using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission. (iii) You will not bully, intimidate, harass, threaten, or terrorize any user, or other post content that is hateful, threatening, pornographic, sensitive, or confidential. (iv) You will not use Montessori Scout Services to do anything unlawful, misleading, malicious, or discriminatory. (v) You will not post content or take any action on Montessori Scout Services that infringes on or violates on the rights of anyone, or otherwise violates the law. (vi) You will not provide any false personal information on Montessori Scout Services, or create a Member Profile for anyone else other than yourself without permission. (vii) You will keep your contact information accurate and current.

10.2 You agree to abide by all of the provisions in this Agreement in order to remain an authorized user of Montessori Scout Services, and your use of Montessori Scout; Services constitutes your agreement to abide by these provisions. You are solely responsible for your use of Montessori Scout Services, for all use of Montessori Scout Services made by others using your user name and password, and for ensuring that such use complies fully with the provisions of this Agreement.

10.3 Montessori Scout reserves the right, in its sole discretion, to change any or all of the provisions of this Agreement at any time. Montessori Scout will notify users of any changes by posting them on Montessori Scout Services or through other reasonable means of providing notice. Any changes to this Agreement will be effective immediately upon notice to you. Your use of Montessori Scout Services after notice of changes to this Agreement have been made will be deemed your acceptance of the changes.

10.4 Montessori Scout reserves the right, in its sole discretion, to change, limit, or discontinue any aspect, content, or feature of Montessori Scout Services, as well as any aspect pertaining to the use of Montessori Scout Services. Montessori Scout reserves the right to remove any content or information posted by its Members if Montessori Scout believes that it violates this Agreement, or for any reason that Montessori Scout determines to be good cause. Montessori Scout further reserves the right, in its sole discretion, to restrict the use of Montessori Scout Services as well as suspend or revoke your rights to use Montessori Scout Services based on 's belief that your use of Montessori Scout Services violates that permitted by this Agreement or applicable law.

10.5 If you do not agree to the provisions of this agreement or are not satisfied with  Services, your sole and exclusive remedy is to discontinue your use of Montessori Scout Services.

11. Disclaimer of Warranties and Limitation of Liability
11.1 You expressly agree that use of Montessori Scout Services is at your sole risk. Neither Montessori Scout, nor any of its affiliates, employees, agents, distributors, or third party content providers warrant that Montessori Scout Services will be uninterrupted or error free or that they will be free of viruses or other harmful components. Nor do they make any warranty as to the results that may be obtained from the use of Montessori Scout Services, or as to the accuracy, reliability, completeness, or contents of any information or material found on Montessori Scout Services, or provided through Montessori Scout Services, or any links to other sites made available on Montessori Scout Services.

11.2 Montessori Scout Services, all content, material and information found on Montessori Scout are provided on an "as is" basis without warranties of any kind, either express or implied, including, but not limited to, warranties of title or implied warranties of merchantability or fitness for a particular purpose.

11.3 You expressly agree that under no circumstances, including, but not limited to negligence, shall  (or any of affiliates, employees, agents, distributors or third party content providers be liable for any indirect, incidental, special or consequential damages that result from the use of, or the inability to use, any content, information and material on the Montessori Scout Services, or the Montessori Scout Services itself. These limitations apply regardless of whether the party liable or allegedly liable was advised, had other reason to know, or in fact knew of the possibility of such damages. You specifically acknowledge and agree that Montessori Scout (and any of its affiliates, employees, agents, distributors and third party content providers is not liable for any defamatory, offensive or illegal conduct of any user, including you.

11.4 You understand and agree that the opinions expressed in member content are those of the author and do not necessarily state or reflect the views of Montessori Scout. Montessori Scout makes no representations as to the accuracy, completeness or validity of member content.

12. Indemnification
To the maximum extent permitted by applicable law, you will defend, indemnify and hold harmless Montessori Scout (and any of its affiliates, employees, agents, distributors or third party content providers) from and against all claims, liability, and expenses, including attorneys' fees and legal fees and costs, arising out of your use of Montessori Scout Services or your breach of any provision of this Agreement. Montessori Scout reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You will cooperate as fully as reasonably required in the defense of any claim.

13. Notices Between Us
You agree to contact Montessori Scout by sending electronic mail to info@MontessoriScout.com or any other address that Montessori Scout may provide to you for the purpose of correspondence. Montessori Scout will contact you by sending electronic mail to the address you provide to us, or by posting a notice on Montessori Scout Services.

14. Termination
may terminate this Agreement and your use of Montessori Scout Services, or discontinue  Services, at any time. Montessori Scout shall have the right immediately upon notice to you to terminate your use of the  Services in the event of any conduct by you which , in its sole discretion, considers to be unacceptable, or in the event of any breach by you of this Agreement or violation of applicable law.

15. Law Governing Performance and Disputes
This Agreement, your performance under it, and any disputes arising under it shall be governed exclusively by the laws of the United States of America and the State of Colorado, without giving effect to their conflict of laws principles. You expressly consent to the exclusive forum, jurisdiction, and venue of the Courts of the State of Colorado in any and all actions, disputes, or controversies relating to this Agreement.

16. General Terms of Use for MontessoriScout.com Membership Community
This Agreement and any rules posted on Montessori Scout Services by Montessori Scout constitute the complete and exclusive and final expression of the agreement of the parties with respect to the subject matter hereof. No waiver by either or you of any breach or default under this Agreement shall be deemed to be a waiver of any preceding or subsequent breach or default. This Agreement shall be binding upon and inure to the benefit of Montessori Scout and its successors, trustees, and permitted assigns. Montessori Scout may assign this Agreement or any of its rights or obligations under this Agreement, with or without notice to you. Any such assignment by Montessori Scout does not relieve you of your obligations under this Agreement.

17. Application and Payment Authorization
By proceeding with the enrollment process, you agree to the following:

I have read and understand this agreement and that the information I have disclosed on this registration/membership form are true to the best of my knowledge and belief. The most current Membership dues will be charged/debited by Montessori Scout to the credit/debit card I submitted on my application for this transaction (School Membership Only). I hereby authorize Montessori Scout to charge my credit card for my annual Montessori Scout Membership dues. A 30 day notice must be given for all cancellations. I understand that submitting false information or omitting relevant or material information in connection with this application may be cause for denial or revocation of Membership at Montessori Scout.
